These Terms & Conditions ("Terms") govern access to and use of the website xentryapp.com and the Xentry contactless check-in and check-out platform, including any related applications, dashboards, and APIs (collectively, the "Service"), operated by Xentry ("Xentry", "we", "us", or "our"). By creating an account, accessing the Service, or clicking "I Agree," you ("Customer," "you," or "your") agree to be bound by these Terms. If you are entering into these Terms on behalf of a business or organisation, you represent that you have authority to bind that entity.
1. The Service
Xentry provides software that enables hotels, hostels, serviced apartments, and other accommodation providers to offer digital, contactless check-in and check-out to their guests, including pre-arrival guest data collection, identification upload, digital signatures, digital keys, guest messaging, and related guest-journey tools. Features made available to a specific Customer depend on the subscription plan purchased.
2. Eligibility & Account Registration
- You must be at least 18 years old and legally capable of entering into a binding contract to create an account.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- You agree to provide accurate, current, and complete information during registration and to keep it updated.
- Xentry may suspend or terminate accounts that provide false information or are used in violation of these Terms.
3. Customer Responsibilities
As a property or business using Xentry, you are responsible for:
- Ensuring your use of the Service complies with all applicable hospitality, data protection, and consumer-protection laws in the jurisdictions where you operate.
- Obtaining any consents required from your guests before collecting their personal data, identification documents, or biometric information through the Service.
- The accuracy of content you upload (branding, forms, policies, pricing) that is shown to your guests.
- Any tax, statutory guest-registration, or reporting obligations that apply to your property, which remain your responsibility even where Xentry provides supporting tools.
4. Subscription, Fees & Payment
- Paid plans are billed in advance on a recurring basis (monthly or annually, as selected at checkout) unless otherwise agreed in a separate order form.
- Fees are exclusive of applicable taxes, which will be added where required by law.
- Failure to pay fees when due may result in suspension of access to the Service after reasonable notice.
- Prices may be changed with at least 30 days' notice before the change takes effect on your next billing cycle.

5. Acceptable Use
You agree not to, and not to permit any guest or third party using the Service through your account to:
- Use the Service for any unlawful purpose or in violation of any applicable regulation.
- Attempt to gain unauthorised access to the Service, other accounts, or related systems or networks.
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law.
- Upload malicious code, or use the Service to transmit spam, harassing, or unlawful content.
- Resell, sublicense, or white-label the Service without a separate written agreement with Xentry.
6. Intellectual Property
The Service, including its software, design, trademarks, and documentation, is owned by Xentry or its licensors and is protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable licence to use the Service during your subscription term for your internal business purposes. You retain ownership of the data you and your guests submit through the Service ("Customer Data"), subject to the licence you grant Xentry to process it in order to provide the Service, as described in our Privacy Policy.
7. Data Protection
Xentry processes personal data, including guest identification and contact details, in accordance with our Privacy Policy and, where applicable, a Data Processing Agreement available on request. You are responsible for ensuring you have a lawful basis to instruct Xentry to process your guests' personal data on your behalf.
8. Third-Party Integrations
The Service may integrate with third-party systems such as property management systems (PMS), payment processors, smart locks, or identity-verification providers. Xentry is not responsible for the availability, accuracy, or performance of third-party services, which are governed by their own terms.
9. Service Availability & Support
Xentry will use commercially reasonable efforts to keep the Service available, but does not guarantee uninterrupted or error-free operation. Planned maintenance will be communicated in advance where practicable. Support channels and response targets may be described in your order form or a separate service-level document.
10. Warranties & Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, Xentry disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Xentry does not warrant that the Service will meet every requirement of your property or that guest-registration data submitted through the Service will satisfy every local legal or statutory reporting obligation; you remain responsible for legal compliance in your jurisdiction.
11. Limitation of Liability
To the maximum extent permitted by law, Xentry's total liability arising out of or relating to these Terms or the Service will not exceed the fees paid by you to Xentry in the twelve (12) months preceding the claim. Xentry will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or goodwill, even if advised of the possibility of such damages.
12. Indemnification
You agree to indemnify and hold Xentry harmless from claims, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of applicable law, or your misuse of guest data collected through the Service.
13. Term, Suspension & Termination
- These Terms remain in effect for as long as you maintain an account or active subscription.
- Either party may terminate a subscription in accordance with the notice period specified in the applicable order form or plan terms.
- Xentry may suspend or terminate access immediately for material breach of these Terms, non-payment, or conduct that poses a security or legal risk.
- Upon termination, your right to access the Service ends; provisions that by their nature should survive (including Sections 6, 10, 11, and 12) will survive.
14. Changes to these Terms
Xentry may update these Terms from time to time. Material changes will be notified via the Service or by email at least 15 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
15. Governing Law & Disputes
These Terms are governed by the laws of India, without regard to conflict-of-law principles, unless a separate signed agreement between you and Xentry specifies otherwise. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India.
